Terms & Conditions

For the purposes of these Terms and Conditions:

"Service Work" means project-based, one-time, or fixed-scope services performed under a written service agreement, statement of work, or similar contract.

"Service Work Statement" or "Statement of Work (SOW)" means a written agreement defining the scope, timeline, deliverables, and fees for specific service work.

"Subscription" means a recurring, ongoing service billed on a periodic basis (including access to ValiSearch and any ValiPaz platform features).

"Free Trial" means a promotional subscription period during which services are provided without charge prior to the start of paid billing.

All services are subject to individual agreements, service work statements, or subscriptions, as applicable.

All payments are made to JB Global Solutions, operating as ValiPaz.

**Service Work** We accept payment via ACH (Automated Clearing House) bank transfer and major credit cards. Service work requires a 50% deposit upfront before work begins. The remaining balance is due upon completion of the service work.

**Subscriptions** Your payment method will be charged on the same calendar date that your subscription begins and/or when valid payment details are received and verified. Charges will recur on that same date each billing cycle for the duration of the active subscription.

**Free Trial Periods** If your subscription includes a free trial period, your payment method will not be charged until the free trial period ends. The first subscription charge will be processed immediately following the conclusion of the free trial, based on the subscription start date and/or when valid payment details are received and verified.

We reserve the right to place an authorization hold on your payment method up to three (3) days prior to the end of the free trial period or the applicable recurring billing date to verify payment availability. Authorization holds are not charges.

**Card Verification & Authorization Holds** A small initial charge (typically $1.00) may be applied to your payment method for verification purposes. This charge may be temporary and is used solely to validate the payment method.

**Service Work** Cancellation of service work is subject to the amount of work completed at the time of cancellation. If more than 50% of the agreed work has been completed, the initial 50% deposit will be retained to cover service charges incurred. Any additional work completed beyond the initial deposit amount may be billed accordingly.

**Subscriptions** Subscriptions may be canceled at any time by submitting a cancellation request via email to hello@valipaz.com. Cancellation requests received at least three (3) days prior to the next scheduled billing date will prevent the upcoming subscription charge.

If a cancellation request is submitted within three (3) days of the next billing date — during which an authorization hold may already be in place — the subscription may still be charged. In such cases, we will apply a prorated refund based on the date the cancellation request was received, crediting any remaining unused days in the billing cycle.

ValiPaz platform access, including ValiSearch, is provided only while a subscription remains active and in good standing. If a subscription is canceled or expires, platform access will be discontinued immediately.

**Service Work** Refunds are subject to the terms of the service contract. If less than 50% of the agreed work has been completed, we will refund the initial deposit at no charge. If more than 50% of the work has been completed, the initial deposit will be retained to cover the cost of labor and services as outlined in the work statement.

**Subscriptions** If you cancel your subscription after a new billing cycle has begun, you may be eligible for a prorated refund. Refunds are calculated based on the number of days already serviced within the current billing cycle. You will receive a credit or refund for the remaining unused days of service in that billing period.

Prorated refunds apply only to the current billing cycle and do not include prior billing periods. Refund eligibility may vary by plan and service type and is subject to review.

Unless otherwise agreed in writing, all intellectual property rights in any work created by ValiPaz and JB Global Solutions remain with the respective parties as outlined in individual project agreements.

The ValiPaz platform, ValiSearch technology, and all associated software, algorithms, and infrastructure are the exclusive property of JB Global Solutions. Clients are granted a limited, non-exclusive, non-transferable license to use the ValiPaz platform solely as permitted by their active subscription or service agreement.

You may not reverse-engineer, decompile, copy, or redistribute any part of the ValiPaz platform or its underlying technology.

All services, including but not limited to ValiSearch, support, maintenance, development, consulting, and integration work, are provided only under one of the following conditions:

• An active and paid subscription in good standing; or
• An active and mutually agreed-upon service work statement, service agreement, or time-based service engagement.

No service work will be performed without an active subscription or an active service work statement in place. If a subscription is canceled, expires, or becomes inactive due to non-payment, all associated services — including platform access and support — will be suspended.

Service work performed under a service work statement is limited strictly to the scope, duration, and terms outlined in that agreement.

You agree not to use ValiPaz services to:

• Violate any applicable law or regulation
• Infringe upon the intellectual property rights of any third party
• Transmit any malicious code, spam, or unauthorized advertising
• Attempt to gain unauthorized access to any part of the ValiPaz platform
• Use the service in a manner that could damage, disable, or overburden our infrastructure
• Collect or harvest personal data from the platform without authorization

ValiPaz reserves the right to suspend or terminate your access immediately if these terms are violated, without obligation to provide a refund.

Neither ValiPaz, JB Global Solutions, nor any third-party or reseller shall be responsible or liable for any injury, loss, or damage, whether direct or consequential, arising out of the use of or the inability to use our services.

To the maximum extent permitted by law, the total liability of ValiPaz to any client for any claims arising under or in connection with these terms shall not exceed the total amount paid by the client to ValiPaz in the twelve (12) months preceding the claim.

Before service work begins, users shall determine the suitability of the service for their intended use. Users assume all risk and liability in connection therewith.

ValiPaz reserves the right to update or modify these Terms and Conditions at any time. We will notify active subscribers of material changes via email at least 14 days before the changes take effect. Your continued use of our services after such changes constitutes your acceptance of the updated terms.
