Terms and Conditions

These Terms and Conditions ("Terms") govern access to and use of the ValiPaz platform, website, applications, APIs, and related services (collectively, the "Services"), operated by Tyrizon Incorporated ("ValiPaz," "we," "our," or "us"). By accessing or using the Services, you ("Customer," "User") agree to be bound by these Terms. If you do not agree, you may not use the Services.

ValiPaz provides a technology platform that: • Aggregates data from third-party sources • Structures identity-related, contact, public record, and financial signal data • Provides identity data matching and comparison tools • Supports document workflows and structured agreements

ValiPaz: • Does not provide decisions, recommendations, or determinations • Does not assess eligibility, creditworthiness, or suitability • Does not provide legal, financial, employment, or other advice All Data Outputs are informational only. Customer is solely responsible for: • Evaluating data • Making decisions • Ensuring compliance with applicable laws

ValiPaz is not: • A consumer reporting agency under the U.S. Fair Credit Reporting Act (FCRA) • A credit bureau or credit scoring provider • An employment, tenant, or background screening agency ValiPaz does not assemble or maintain consumer reports as defined under applicable law. The Services provide data processing and structured data outputs only, and do not include any form of decision-making, scoring, or eligibility determination.

Customer agrees that the Services and Data Outputs shall not be used as the sole basis for decisions involving: • Credit • Employment • Housing • Insurance • Lending • Government benefits • Or any other regulated determinations Customer is solely responsible for ensuring compliance with all applicable laws.

Customer agrees to: • Use the Services only for lawful purposes • Ensure lawful basis for all data processed • Comply with all applicable laws in any jurisdiction • Not misuse or misrepresent Data Outputs • Not use the Services for unlawful discrimination

ValiPaz provides a technology platform that processes and structures data. Depending on usage, ValiPaz may act as: • A service provider or data processor with respect to data submitted by the Customer; and • An independent provider of structured data outputs derived from third-party sources ValiPaz does not determine the legal basis for data processing and does not act as a controller of Customer-submitted data. Customer is responsible for: • Establishing lawful basis for processing • Compliance with applicable data protection laws • Managing data subject rights ValiPaz processes data in accordance with Customer instructions and applicable law.

ValiPaz relies on third-party data providers. ValiPaz: • Does not control external data sources • Does not guarantee accuracy, completeness, or timeliness • Is not responsible for errors, omissions, or outdated data All data is provided "as available."

The Services are provided "as is" and "as available." ValiPaz disclaims all warranties, including: • Accuracy • Reliability • Completeness • Fitness for a particular purpose ValiPaz does not independently verify identity of individuals or entities.

To the maximum extent permitted by applicable law, ValiPaz and Tyrizon Incorporated shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages. ValiPaz shall have no liability for any decisions, actions, or outcomes resulting from Customer's use or interpretation of Data Outputs.

Customer agrees to indemnify and hold harmless ValiPaz from claims arising from: • Misuse of Services • Legal violations • Improper data usage • Regulatory non-compliance

ValiPaz provides a platform that processes and structures data from multiple sources. Depending on context, ValiPaz may act as: • A service provider or processor for Customer-submitted data; and • An independent provider of structured outputs based on third-party data ValiPaz does not determine the legal basis for processing. Customer is responsible for: • Compliance with applicable laws (including GDPR, LGPD, and others) • Establishing lawful processing grounds • Managing data subject rights

Customer acknowledges that data processed through the Services may be transferred to and processed in jurisdictions outside of the Customer's country, including but not limited to the United States. Such jurisdictions may have data protection laws that differ from those in the Customer's jurisdiction. Customer is solely responsible for ensuring that such transfers comply with applicable laws, including GDPR, LGPD, and other international frameworks. ValiPaz does not represent that any specific transfer mechanism satisfies legal requirements of any jurisdiction.

ValiPaz does not guarantee long-term storage of data. Data may be deleted, expired, or not retained unless otherwise agreed.

All intellectual property remains the property of Tyrizon Incorporated. Customer receives a limited license to use the Services.

Customer may not: • Use the Services unlawfully • Reverse engineer the platform • Misrepresent outputs • Use Services for prohibited decision-making

ValiPaz makes no representation that the Services are compliant in all jurisdictions. Customer is solely responsible for compliance with all local laws. ValiPaz disclaims liability for use in restricted jurisdictions.

ValiPaz may update these Terms at any time. Continued use constitutes acceptance.

These Terms are governed by the laws of the Massachusetts, USA. Local protections may still apply where required by law.
